Lord Jones® Loyalty Program Terms of Use 

Effective Date: November 1st, 2022 

 

PLEASE READ THESE TERMS OF USE (“TERMS OF USE”) CAREFULLY. BY ACCESSING OR PARTICIPATING IN THE LORD JONES® LOYALTY PROGRAM, YOU AGREE TO BE BOUND BY THESE TERMS AND ALL TERMS INCORPORATED HEREIN BY REFERENCE. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT ACCESS OR PARTICIPATE IN THE LORD JONES® LOYALTY PROGRAM. 

These Terms Use constitute a legally binding agreement made between you and Redwood Wellness, LLC a Delaware limited liability company (“Redwood Wellness”), which owns and operates the www.lordjones.com website and administers the Lord Jones® Loyalty Program (the “Program”) and govern your access to and use of the www.lordjones.com website and the Program and services supplied by or on behalf of Redwood Wellness through the Program. Supplemental terms of use or documents that may be posted on the www.lordjones.com website from time to time are hereby expressly incorporated into these Terms of Use by reference. 

I. MEMBERSHIP

  1. Free Membership.

No puchase is necessary to obtain membership in the Program and get a Lord Jones® Loyalty Program account (an “Account”). 

  1. Eligibility.

Individuals must be age 21 years or older and a resident of the United States to be eligible for membership. Membership in the Program is limited to individuals only and is limited to one account per individual. By submitting an application for an Account, an applicant agrees to be bound by these Terms of Use. To enroll in the Program, applicants must provide their first name, last name and email address and phone number. The Program is void where prohibited by law and may not be available in all states. A person may not participate in the Program through more than one Account. Members are entitled to only one Account. 

  1. Opening an Account.

Applicants may apply to become a member of the Program by visiting www.lordjones.com (the “Website” or “Online”) and clicking the “Loyalty Program” link. In order to apply on the Website, applicants must click the “Join Now” link on the Website homepage, then click “Create an Account” and proceed through the associated registration screens.  

  1. Membership Account.

Each Program member (“Member”) will receive a Program Account number that is unique to such Member. Accounts are issued at the time the applicant enrolls in the Program and becomes a Member. If a Member’s Account becomes compromised, the Member may be issued points to a new Member Account. To ensure proper handling of Member Accounts, compromised accounts must be reported to Redwood Wellness by contacting Redwood Wellness at info@lordjones.com, and Redwood Wellness will direct the Member to create a new Account. The Account remains the property of Redwood Wellness and must be surrendered upon request. No credit or cash will be given for unused points. Program Account numbers are not transferable and are not for sale, resale or barter. Redwood Wellness is not responsible for use of a Member’s Account or redemption of a Member’s points in the event the Member’s Account is stolen and the Account is used or the points are redeemed prior to the Member informing Redwood Wellness that the Member’s Account has been stolen. 

  1. Member Information (including Personal Information) and Privacy Policy.

Members must keep their Member Account information up to date by visiting the Website. Users of the Website must provide their individual Account number when logging on the Website, which will allow the Member to update their personal profile. Once a Member has created an Account, the “Login” link will allow maintenance of the Member’s Account. The information you provide as a Member of the Program will be handled according to Redwood Wellness’ privacy policy. To learn more about Redwood Wellness’ Privacy Policy, please click here. 

  1. VIP Members.

Becoming a Silver Member. Members who spend at least $250 over the course of twelve (12) consecutive calendar months will earn Silver status (“Silver Member”). Silver status is valid for the twelve (12) consecutive months following the date the Member earns Silver status. For example, if a Member reaches Silver status on October 12, 2022, their status as Silver is valid until October 11, 2023.  So long as the amount a Member spends at least $250 in the Program on a trailing twelve (12) month basis, the Member will retain its Silver status for the following twelve (12) consecutive months, unless that Member achieves Gold status.  

Silver Member Benefits. Silver Members enjoy additional benefits and promotional offers such as: a 25% higher base earning rate (1.25 points for every one dollar spent), a 50 point gift upon achieving Silver status, and an annual birthday gift (currently, 125 points). All Silver Member benefits and promotions are subject to the terms and conditions of the offer. 

Becoming a Gold Member. Members who spend at least $400 over the course of twelve (12) consecutive calendar months will earn Gold status (“Gold Member”). Gold status is valid for the twelve (12) consecutive months following the date the Member earns Gold status. For example, if a Member reaches Gold status on October 12, 2022, their status as Gold is valid until October 11, 2023.  So long as the amount a Member spends at least $400 in the Program on a trailing twelve (12) month basis, the Member will retain its Gold status for the following twelve (12) consecutive months. If a Member’s amount spent on a trailing twelve (12) month basis drops to less than $400 but greater than $250, the Member will become a Silver Member and will only be entitled to the Silver Member benefits for subsequent transactions.  If a Member achieves Gold status in a transaction without first being a Silver Member, that Member is entitled only to the Gold Member benefits and does not also earn the Silver Member benefits. 

Gold Member Benefits. Gold Members enjoy additional benefits and promotional offers such as: a 50% higher base earning rate (1.50 points for every one dollar spent), a 100 point gift upon achieving Gold status, and an annual birthday gift (currently, 150 points). All Gold Member benefits and promotions are subject to the terms and conditions of the offer. 

  1. Online Account Maintenance.

Members may view a summary of their Account on the Website. After creating an Account on the Website, Members may simply click on the “Login” link on the homepage of the Website and change any information on their Account.  Members may also view their Program points balance, progress toward Silver or Gold Membership, transaction history and eligibility for bonus offers on the Website by logging in and clicking on the “My Points” link in the profile navigation. 

  1. Member Cancellation.

Members may cancel their Account membership at any time. Upon cancellation, any unused points accrued in a Member’s account will be forfeited and cannot be redeemed. 

II. EARNING POINTS

  1. General.

Members can earn points on all products (except gift cards) on the purchase of all products (except gift cards) Online. Additionally, Members can earn points when they use gift cards to purchase products (except gift cards) Online. Members may not earn points on the purchase of any products from third party retailers.  For all Online purchases, Members must be logged into their Account while making a purchase to get credit for Online purchases. Members must be signed into their Account to receive any credit.  

  1. Earning Rate.

Lord Jones® Loyalty Program Bronze Member Points. Bronze Members earn one (1) point for every one dollar ($1) spent when they purchase qualifying products Online if the Member is logged into the Account while making a purchase. For example, if you spend $19.99, you will receive 19 points. Calculation is as follows: $19.99 x 1 point per dollar = 19.99 points, which is rounded down to 19 points.  Additionally, all Bronze Members are eligible earn (i) 25 points when they create an Account, (ii) 50 points upon receiving three shipments of a subscription (following enrollment in the Program; does not apply for pre-existing subscriptions and does not apply across multiple products such that the maximum amount of points a Member can earn via a subscription is 50), (iii) 10 points when the Member “likes” Lord Jones® on Facebook or “follows” Lord Jones® on Instagram, TikTok or Spotify (for a total of 40 possible points) and (iv) 100 points on their birthday. 

Silver Member Points. All Silver Members earn points based on a base earning rate that is 25% higher than a Bronze Member’s rate (i.e., 1.25 points for every one (1) dollar spent on qualifying products if the Silver Member is logged into the Account while making a purchase).  All Silver Members will also earn a 50 point gift upon achieving Silver status, and an annual birthday gift of 125 points (in lieu of and not in addition to the points Bronze Members earn on their birthday, as described above).  Additionally, all Silver Members are eligible to earn (without duplication of any points earned while a Member was a Bronze Member) (i) 25 points when they create an Account, (ii) 50 points upon receiving three shipments of a subscription (following enrollment in the Program; does not apply for pre-existing subscriptions and does not apply across multiple products such that the maximum amount of points a Member can earn via a subscription is 50), and (iii) 10 points when the Member “likes” Lord Jones® on Facebook or “follows” Lord Jones® on Instagram, TikTok or Spotify (for a total of 40 possible points).   

Gold Member Points. All Gold Members earn points based on a base earning rate that is 50% higher than a Bronze Member’s rate (i.e., 1.50 points for every one (1) dollar spent on qualifying products if the Gold Member is logged into the Account while making a purchase).  All Gold Members will also earn a 100 point gift upon achieving Gold status, and an annual birthday gift of 150 points (in lieu of and not in addition to the points a Bronze Member and a Silver Member earns on his or her birthday, as described above).  Additionally, all Gold Members are eligible to earn (without duplication of any points earned while a Member was a Bronze Member or Silver Member) (i) 25 points when they create an Account, (ii) 50 points upon receiving three shipments of a subscription (following enrollment in the Program; does not apply for pre-existing subscriptions and does not apply across multiple products such that the maximum amount of points a Member can earn via a subscription is 50), and (iii) 10 points when the Member “likes” Lord Jones® on Facebook or “follows” Lord Jones® on Instagram, TikTok or Spotify (for a total of 40 possible points).   

Members earn points only at their level of Membership.  Members may not earn points at multiple levels of Membership.  For example, a Gold Member earns 1.50 points for every dollar spent; this is not able to be combined with the 1.25 points per dollar spent by a Member who has earned Silver status.  As an additional example, the 10 points earned by a Member when the Member “likes” Lord Jones® on Facebook or “follows” Lord Jones® on Instagram, TikTok or Spotify can only be earned once and cannot be earned each time a Member moves to a different Membership status. 

  1. Gift Cards.

When a Member makes a qualifying purchase Online using a gift card, the Member will earn points on the amount of the purchase.  

  1. Referrals

By using the “Referrals” tool Online, a Member can refer another person who is not an existing Member and earn points.  To do so, the Member must submit that person’s email address on the Website.  Redwood Wellness will email that person with a code that can be redeemed for $10 off a purchase of $100 or more. If that person uses that code on a purchase of $100 or more, the referring Member will be automatically awarded 200 points.   

  1. Timing of the Addition of Points to Accounts.

All points earned on the Online purchase of qualifying products will be credited when an order is marked paid. The timing for issuing points is subject to change. 

  1. Exclusions.

Members may earn points only on the purchase price of qualifying products Online if they are logged into their Account when they make a purchase. Calculation of points excludes payment by the Member for shipping charges, charitable products and donations, and all taxes, including without limitation, federal, state, and local taxes or use taxes. Points will not be earned on any discounts or other credits offered in connection with a product. For example, if a product that is normally $100 is on sale for $75, a Member will only earn points on the purchase price of $75. Purchases of gift cards, redemption of merchandise vouchers, and any type of price adjustments, including merchandise returns, are not eligible for points. All purchases made: (i) by a Member prior to joining the Program, or (ii) Online without a Member being logged into their Account are not eligible to earn points. 

  1. Returns.

Points earned for a purchase that is then the subject of a return, refund, returned check due to non-sufficient funds, or other credit will be deducted from the Member’s Account in an amount equal to the points earned for the original transaction, including bonus points. 

  1. Bonus Point Promotions.

From time to time, Redwood Wellness may run certain bonus point promotions. Under bonus point promotions, Members can earn additional or “bonus points” in connection with the purchase of certain Lord Jones® products Online. Bonus point promotions exclude purchases made at third party retailers. When products are purchased by a Member, the Member will earn bonus points on each product, as specified in the offer. Bonus point promotions are subject to the terms and conditions of the offer and may be offered at any time in Redwood Wellness’ sole discretion. Bonus point offers cannot be combined with any other offer. Silver and/or Gold Members may be able to earn additional bonus points in connection with any bonus point promotional offer. If a Member purchases a product during a bonus point promotion and the product comes with an additional, free product, bonus points will not be issued on the retail value of the free product. If a Member redeems points towards the purchase of a bonus point product and pays a portion of the retail price in cash or via gift card after the points redemption, the Member will receive bonus points on the leftover retail amount paid by the Member in cash or via gift card. If a Member redeems points towards the purchase of a bonus point product in an amount equal to the full price of the bonus point product, the Member will not earn any bonus points. A Member may also earn additional points on non-purchase activities in accordance with terms published by Redwood Wellness. A Member may also earn additional points on certain purchases from eligible third parties in accordance with the terms published by Redwood Wellness. From time to time, Redwood Wellness may offer Members the chance to win various prizes, including points. Rules and restrictions will apply to such promotions. 

III. REDEEMING POINTS 

  1. General. 

Points earned by a Member may be redeemed for products or discounts on products Online at www.lordjones.com. Points cannot be redeemed on gift card purchases or on purchases made from third party retailers. Redemptions may not be combined with any other sale, offer, discount or other promotion from Redwood Wellness that requires the use of a coupon code or discount code at checkout. 

  1. Points towards Products: Members can use their points to reduce the purchase price of a qualifying product free of charge based on the following scale:

100 points = $5.00 off 

200 points = $10.00 off 

300 points = $15.00 off 

400 points = $20.00 off 

Points can be redeemed (i) either in the increment amounts set forth above (and only in those increments) or (ii) for the entire purchase price of an item, provided that the Member also purchases an additional item simultaneously. A Member may not redeem points other than as set forth in the immediately preceding sentence.  Redemption of points towards purchases of products is subject to product availability. 

  1. Gift Cards.

Points cannot be used towards the purchase of gift cards. 

  1. Redemption Online.

Members may redeem their points on any purchase made Online at www.lordjones.com. To redeem points towards a purchase Online, a Member must be logged into their Account number while making a purchase.  

There are two ways a Member can redeem points. First, a Member may use a code generated in that Member’s account and use that code at checkout.  Second, at checkout, a Member may select an option to redeem points in that Member's account and apply it to the items in that Member’s cart. 

Points may be redeemed on the purchase price of qualifying products only and cannot be used towards the payment of sales tax or shipping and handling charges or for the purchase of gift cards. A maximum number of points redeemable in single transaction may apply. 

  1. Exclusions.

Points accumulated on different Accounts of different Members may not be combined or aggregated to make purchases of products or for any other reason. Points earned in a transaction cannot be redeemed in the same transaction.  Points may not be redeemed to purchase products subject to any other sale, offer, discount or other promotion from Redwood Wellness that requires the use of a coupon code or discount code at checkout. 

  1. Points Expiration.

POINTS EXPIRE FOLLOWING ONE YEAR OF INACTIVITY ON THE WEBSITE.  If a Member does not purchase any product or earn any points on the Website for twelve (12) consecutive months, the Member’s points will automatically expire. 

IV. DISCLAIMER OF WARRANTIES; LIMITATION OF LIABILITY 

MEMBERS AGREE THAT THEIR USE OF THE WEBSITE AND THE PROGRAM AND THE SERVICES OFFERED THEREBY WILL BE AT THEIR SOLE RISK.  TO THE FULLEST EXTENT PERMITTED BY LAW, REDWOOD WELLNESS, ITS AFFILIATES AND ITS AND THEIR RESPECTIVE ITS OFFICERS, DIRECTORS, EMPLOYEES AND AGENTS, DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE WEBSITE, THE PROGRAM AND THE SERVICES OFFERED THEREBY AND MEMBERS’ USE THEREOF, INCLUDING, WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. 

REDWOOD WELLNESS DOES NOT WARRANT THAT A MEMBER’S PARTICIPATION IN THE PROGRAM WILL BE UNINTERRUPTED OR ERROR FREE, OR THAT THE WEBSITE OR ITS SERVER ARE FREE OF VIRUSES OR OTHER HARMFUL ELEMENTS, OR THAT ANY SUCH ERRORS, HARMFUL ELEMENTS, OR DEFECTS WILL BE CORRECTED.  ALTHOUGH REDWOOD WELLNESS ENDEAVORS TO PROVIDE ACCURATE INFORMATION, IT DOES NOT WARRANT OR MAKE ANY REPRESENTATIONS REGARDING THE ACCURACY OR RELIABILITY OF INFORMATION ON THE WEBSITE.  A MEMBER’S USE OF THE WEBSITE, THE PROGRAM AND THE SERVICES OFFERED THEREBY IS AT ITS OWN RISK.  NEITHER REDWOOD WELLNESS NOR ITS AFFILIATED OR RELATED ENTITIES OR ITS VENDORS OR CONTENT PROVIDERS SHALL BE LIABLE TO ANY PERSON OR ENTITY FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, CONSEQUENTIAL OR EXEMPLARY LOSS, DAMAGES (WHETHER ACTUAL, CONSEQUENTIAL, PUNITIVE, SPECIAL OR OTHERWISE), INJURY, CLAIM OR LIABILITY OF ANY KIND OR CHARACTER WHATSOEVER BASED UPON OR RESULTING FROM PARTICIPATION IN THE PROGRAM, USE OR INABILITY TO USE THE WEBSITE, ANY ORDER OR THE FULFILLMENT OR NON-FULFILLMENT THEREOF OR ANY INFORMATION OR MATERIALS PROVIDED ON THE WEBSITE.  REDWOOD WELLNESS IS NOT LIABLE FOR ANY DEFAMATORY, OFFENSIVE OR ILLEGAL CONDUCT OF ANY USER.  IF A MEMBER IS DISSATISFIED WITH THE PROGRAM OR ANY ASPECT OF THE PROGRAM, OR WITH ANY OF THE TERMS OF USE, ITS SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE PARTICIPATING IN THE PROGRAM. 

TO THE FULLEST EXTENT PERMITTED BY LAW, REDWOOD WELLNESS IS NOT LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, CONSEQUENTIAL OR EXEMPLARY DAMAGES ARISING OUT OF OR IN ANY WAY RELATED TO THE PROGRAM, THE WEBSITE, THESE TERMS OF USE OR THE USE OF THE SERVICES OR PRODUCTS, INCLUDING WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA OR OTHER INTANGIBLE LOSSES (EVEN IF REDWOOD WELLNESS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES). TO THE EXTENT THE FOREGOING LIMITATION OF LIABILITY IS, IN WHOLE OR IN PART, HELD TO BE INAPPLICABLE OR UNENFORCEABLE FOR ANY REASON, THEN, NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, REDWOOD WELLNESS’ AND ITS AFFILIATES’ LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER AND REGARDLESS OF THE FORM OR NATURE OF THE ACTION, WILL AT ALL TIMES BE LIMITED TO THE GREATER OF (A) THE AMOUNT PAID, IF ANY, BY YOU TO REDWOOD WELLNESS FOR THE PRODUCTS OR SERVICES DURING THE PERIOD OF ONE (1) MONTH PRIOR TO ANY CAUSE OF ACTION ARISING, AND (B) FIVE DOLLARS ($5). 

 

V. GOVERNING LAW; DISPUTE RESOLUTION

These Terms of Use and any separate agreements whereby Redwood Wellness provides products or services shall be governed by and construed in accordance with the state laws of the state of California, exclusive of conflict or choice of law rules. 

In the event of any dispute with Redwood Wellness, you agree to first contact Redwood Wellness to attempt in good faith to resolve the dispute.  All offers, promises, conduct and statements, whether oral or written, made in the course of negotiation to resolve the dispute by any of the parties, their agents, employees, experts and attorneys are confidential, privileged and inadmissible for any purpose, including impeachment, in arbitration or other proceeding involving the parties, provided that evidence that is otherwise admissible or discoverable shall not be rendered inadmissible or non-discoverable as a result of its use in the negotiation. 

If the dispute has not been resolved after sixty (60) days, we each agree to resolve any claim, dispute, or controversy (excluding any claims for injunctive or other equitable relief as provided below) arising out of or in connection with or relating to these Terms of Use, the Program, the Website, services or products, including the determination of the scope or applicability of these Terms of Use to arbitrate, or the alleged breach thereof, according to Section VI of these Terms of Use. 

VI. ARBITRATION

TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AND REDWOOD WELLNESS (TOGETHER, THE “PARTIES”) AGREE TO SUBMIT EXCLUSIVELY ANY CLAIM, CONTROVERSY OR DISPUTE ARISING OUT OF OR RELATING TO THE PROGRAM, THE SITE, THE SERVICES, PRODUCTS, THESE TERMS OF USE OR ANY OTHER POLICIES OR OTHER TERMS INCORPORATED HEREIN OR THEREIN (INCLUDING THE BREACH, TERMINATION, ENFORCEMENT, INTERPRETATION, ENFORCEABILITY, VALIDITY OR RIGHTS UNDER ANY OF ANY OF THE FOREGOING) (EACH, A “DISPUTE”)) FOR RESOLUTION BY CONFIDENTIAL, INDIVIDUAL, BINDING ARBITRATION, EXCEPT THAT YOU MAY ASSERT CLAIMS IN SMALL CLAIMS COURT IF YOUR CLAIMS QUALIFY. 

THE PARTIES AGREE THAT THE ARBITRATOR, AND NOT ANY FEDERAL, STATE, PROVINCIAL OR LOCAL COURT OR AGENCY, SHALL HAVE EXCLUSIVE AUTHORITY TO RESOLVE ANY DISPUTES RELATING TO THE INTERPRETATION, APPLICABILITY, ENFORCEABILITY OR FORMATION OF THIS AGREEMENT TO ARBITRATE, INCLUDING ANY CLAIM THAT ALL OR ANY PART OF THIS AGREEMENT TO ARBITRATE IS VOID OR VOIDABLE.  THE ARBITRATOR SHALL ALSO BE RESPONSIBLE FOR DETERMINING ALL THRESHOLD ARBITRABILITY ISSUES, INCLUDING ISSUES RELATING TO WHETHER THE TERMS ARE UNCONSCIONABLE OR ILLUSORY AND ANY DEFENSE TO ARBITRATION, INCLUDING WAIVER, DELAY LACHES OR ESTOPPEL. 

TO THE FULLEST EXTENT PERMITTED BY LAW: (I) YOU EXPRESSLY WAIVE ANY RIGHT YOU MAY HAVE TO ARBITRATE A DISPUTE AS A CLASS ACTION; AND (II) YOU ALSO EXPRESSLY WAIVE YOUR RIGHT TO A JURY TRIAL. 

THERE IS NO JUDGE OR JURY IN ARBITRATION, AND COURT REVIEW OF AN ARBITRATION AWARD IS LIMITED. HOWEVER, AN ARBITRATOR CAN AWARD ON AN INDIVIDUAL BASIS THE SAME DAMAGES AND RELIEF AS A COURT (INCLUDING INJUNCTIVE AND DECLARATORY RELIEF OR STATUTORY DAMAGES) AND MUST FOLLOW THE TERMS AS A COURT WOULD. 

THE ARBITRATION WILL BE HELD IN THE CITY OF LOS ANGELES, CALIFORNIA.  IF THIS LOCATION IS NOT CONVENIENT FOR YOU, PLEASE LET REDWOOD WELLNESS KNOW.  REDWOOD WELLNESS WILL WORK WITH YOU TO DETERMINE A MUTUALLY CONVENIENT LOCATION.  ANY DISAGREEMENTS REGARDING THE FORUM FOR ARBITRATION WILL BE SETTLED BY THE ARBITRATOR. 

DISPUTES WILL BE ARBITRATED ON AN INDIVIDUAL BASIS AND NOT AS A CLASS ACTION. IN THE EVENT THAT ARBITRATION IS NOT PERMITTED BY APPLICABLE LAW: (I) THE PARTIES EXPRESSLY AGREE THAT ANY DISPUTE WILL BE BROUGHT AND HEARD SOLELY AND EXCLUSIVELY IN THE FEDERAL OR STATE COURTS OF COMPETENT JURISDICTION LOCATED IN LOS ANGELES, CALIFORNIA.  THE PARTIES WAIVE ANY PLEA OR DEFENSE THAT SUCH COURTS ARE NOT THE APPROPRIATE VENUE OR THAT THEY ARE NOT SUBJECT TO PERSONAL JURISDICTION OF SUCH COURTS. 

THE ARBITRATION WILL BE ADMINISTERED BY JAMS. YOU MAY OBTAIN A COPY OF THE RULES OF JAMS BY CONTACTING THE ORGANIZATION. EACH OF THE PARTIES SHALL AGREE ON ONE ARBITRATOR TO CONDUCT THE ARBITRATION. IN THE EVENT THE PARTIES CANNOT AGREE ON AN ARBITRATOR, THE ARBITRATOR WILL BE SELECTED IN ACCORDANCE WITH THE JAMS RULES. 

IF YOU INITIATE ARBITRATION, YOUR ARBITRATION FEES WILL BE LIMITED TO THE FILING FEE SET FORTH BY JAMS. REGARDLESS OF WHO INITIATES ARBITRATION, REDWOOD WELLNESS WILL PAY YOUR SHARE OF ARBITRATION FEES (NOT INCLUDING YOUR ATTORNEYS’ FEES) UP TO A MAXIMUM OF $2,500.  IF THE ARBITRATOR RULES AGAINST REDWOOD WELLNESS, IN ADDITION TO ACCEPTING WHATEVER RESPONSIBILITY IS ORDERED BY THE ARBITRATOR, REDWOOD WELLNESS WILL REIMBURSE YOUR REASONABLE ATTORNEYS’ FEES AND COSTS UP TO A MAXIMUM OF $5,000, REGARDLESS OF WHO INITIATED THE ARBITRATION, UNLESS THE ARBITRATOR FINDS SOME OR ALL OF YOUR CLAIMS TO BE FRIVOLOUS OR TO HAVE BEEN BROUGHT IN BAD FAITH.  IN ADDITION, IF THE ARBITRATOR RULES IN REDWOOD WELLNESS’ FAVOR, IT WILL NOT SEEK REIMBURSEMENT OF ATTORNEYS’ FEES AND COSTS, REGARDLESS OF WHO INITIATED THE ARBITRATION, UNLESS THE ARBITRATOR FINDS SOME OR ALL OF YOUR CLAIMS TO BE FRIVOLOUS OR TO HAVE BEEN BROUGHT IN BAD FAITH. 

NOTWITHSTANDING ANYTHING TO THE CONTRARY IN THIS SECTION, TO THE EXTENT EITHER PARTY IN ANY MANNER HAS VIOLATED OR THREATENED TO VIOLATE THE OTHER PARTY’S INTELLECTUAL PROPERTY RIGHTS, THE NON-BREACHING PARTY MAY SEEK INJUNCTIVE OR OTHER APPROPRIATE RELIEF IN ANY STATE, PROVINCIAL OR FEDERAL COURT OF COMPETENT JURISDICTION. 

EXCEPT AS OTHERWISE PROHIBITED BY LAW, ANY DISPUTE MUST BE BROUGHT WITHIN ONE (1) YEAR FROM THE DATE THE CAUSE OF ACTION ARISES. 

IN THE EVENT THAT ANY PROVISION OF THE AGREEMENT TO ARBITRATE IS HELD INVALID OR UNENFORCEABLE, ALL OTHER TERMS WITHIN THE AGREEMENT TO ARBITRATE SHALL REMAIN IN FULL FORCE AND EFFECT. 

VII. CHANGES TO TERMS OF SERVICE 

A Member can review the most current version of the Terms of Use at any time at this page.  Redwood Wellness reserves the right, at its sole discretion, to update, change or replace any part of these Terms of Use by posting updates and changes to the Website.  It is each Member’s responsibility to check the Website periodically for changes.  A Member’s continued use of or access to the Program following the posting of any changes to these Terms of Use constitutes acceptance of those changes. 

VIII. GENERAL

By joining the Program, you agree to be bound by these Terms of Use. Your access to the Website and any purchases you make are subject to the Redwood Wellness Terms of Service found here. Redwood Wellness reserves the right to cancel, modify, or restrict points or any aspect of the Program, including, without limitation, the point conversion ratio and the point expiration policy at any time. Any changes can be made without advance notice. Redwood Wellness may make these changes even though such changes may affect the Member’s ability to use points already accumulated. Members are responsible for remaining knowledgeable about these Terms of Use. A Member’s points balance, as reflected in Redwood Wellness’ records, shall be deemed correct. Redwood Wellness reserves the right to determine the number of points in any Member’s Account based on Redwood Wellness’ internal records related to such Member’s Account. In the event of an inconsistency between the amount accrued in a Member’s Account as stated on any Member’s receipt and Redwood Wellness’ internal records, Redwood Wellness’ internal records will control. Redwood Wellness assumes no responsibility for errors caused by incorrect Member information. A Member’s right to transfer points earned or granted under the Program is strictly limited. The sale of points is prohibited and may result in the confiscation or cancellation of points as well as suspension or termination of membership, which in each case shall be final and conclusive. Redwood Wellness may revoke any Member’s membership in the Program at any time if such Member engages in abuse of the Program or fails to follow all Terms of Use of the Program. Fraud or abuse relating to the accrual of points or redemption of points may result in revocation of membership in the Program and may affect a Member’s eligibility for participation in any other Lord Jones® or Redwood Wellness program. Points are non-transferable and cannot be redeemed for cash. The interpretation and application of the Program’s Terms of Use are at the sole discretion and determination of Redwood Wellness.
